Welcome to Zudue! These Terms of Service ("Terms") govern your access to and use of all digital services, websites, software applications, and features (collectively, the "Platform") operated by Zudue Platforms Private Limited ("Zudue", "we", "us", or "our").
LEGAL NOTICE: BY REGISTERING, ACCESSING, OR USING THE PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND OTHER POLICIES REFERENCED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.
1. OVERVIEW OF SERVICES
Zudue facilitates interactions between users ("Fans") and independent third-party content creators, influencers, and experts ("Partners") through:
- One-on-One Video Calls (date-based bookings)
- Ask a Quick Question (asynchronous Q&A)
- Personalized Shout-Outs (short, custom videos curated and delivered via Zudue)
Zudue:
- Acts solely as a facilitator or intermediary.
- Does not guarantee the accuracy, professionalism, or content provided by Partners.
- Reserves the right to review, suspend, or terminate any interaction that violates platform rules or legal obligations.
2. ELIGIBILITY
To use the Platform:
- Fans must be 18+, or have verifiable parental/guardian consent.
- Partners must be 18+ and KYC-verified to provide services.
- We reserve the right to request proof of age or guardian consent at any time.
3. ACCOUNT CREATION AND SECURITY
By creating a Zudue account, you:
- Agree to provide accurate, complete, and updated information.
- Are responsible for all activities under your login credentials.
- Must promptly report unauthorized access to your account.
We reserve the right to:
- Refuse registration, suspend, or terminate accounts found to be fraudulent, non-compliant, or abusive.
4. USER ROLES AND RESPONSIBILITIES
4.1 FAN RESPONSIBILITIES
- You must book services in accordance with platform timelines.
- You must be available on the booked date, between 8 AM to 6 PM IST, for calls.
- Missed calls without using the "I'm Ready" feature will be treated as final no-shows.
4.2 PARTNER RESPONSIBILITIES
- Set availability at least 7 days in advance for calls.
- Initiate calls from your "Today's Calls" queue only during platform hours.
- Respond to questions and fulfill shout-outs within defined SLAs (Service Level Agreements).
- Maintain an active and accurate payout profile, including KYC and bank/UPI details.
- Comply with content policies, including avoiding misinformation, hate speech, or prohibited content.
5. PLATFORM FEES AND PAYMENT TERMS
5.1 FAN PAYMENTS
- All payments are in INR via RAZORPAY or any authorized gateway.
- Zudue charges you at the time of booking, and payments are non-transferable.
- GST (if applicable) will be included in the final price.
5.2 PARTNER COMMISSIONS & PAYOUTS
- Zudue retains a commission on each service completed.
- Partners earn the remaining amount after the platform commission.
- Commission rates are disclosed in your Partner dashboard.
Payouts are processed monthly, subject to:
- Minimum earnings threshold
- Valid KYC and active bank/UPI details
- Deduction of TDS under applicable laws (as applicable)
⚠️ Taxation: Partners are solely responsible for income tax compliance and should retain necessary records for personal ITR filings.
6. CANCELLATION, NO-SHOWS, AND REFUNDS
6.1 FAN CANCELLATION
- Cancellations allowed up to 48 hours before the booked service date.
- Refunds for cancellations are subject to Admin discretion, platform policy, and payment gateway limitations.
6.2 PARTNER NO-SHOW
- If a Partner fails to initiate a confirmed video call by 6 PM IST, the Fan receives a full refund.
- A penalty may be deducted from future Partner earnings.
6.3 FAN NO-SHOW
- If a Fan fails to join despite partner initiation and doesn't click "I'm Ready", the call is marked "Missed by Fan - Final".
- No refund is guaranteed in this case. Final decisions rest with Admins.
7. INTELLECTUAL PROPERTY AND LICENSE
7.1 ZUDUE IP
- All platform software, UI/UX, trademarks, and branding remain the property of Zudue or its licensors.
7.2 USER CONTENT
- You retain ownership of your content.
- By uploading/creating content (e.g., answers, videos), you grant Zudue a perpetual, royalty-free, non-exclusive license to use, store, publish, promote, and deliver your content.
⚠️ Partners also grant Zudue the right to use your name, profile photo, and performance content for platform marketing and analytics.
8. DATA PRIVACY & SECURITY
Zudue is committed to protecting your data under the:
- Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
- Digital Personal Data Protection Act, 2023
We collect, store, and process data including:
- Personal details (Name, Email, Mobile)
- KYC Documents
- Payment and service logs
🔒 We do not share your personal data with third parties except:
- As required by law
- With payment/KYC partners
- For dispute resolution

9. COMMUNITY GUIDELINES & PROHIBITED USE
You agree not to:
- Post or request sexual, violent, hateful, misleading, or illegal content.
- Impersonate others or provide false information.
- Circumvent platform workflows (e.g., direct payments).
- Record or distribute private calls or videos without explicit consent.
- Engage in data scraping, spamming, or disruptive behavior.
Zudue may suspend or terminate your access for any violation.
10. LIABILITY & WARRANTY DISCLAIMERS
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ZUDUE DISCLAIMS ALL WARRANTIES INCLUDING:
- THAT SERVICES WILL BE TIMELY, UNINTERRUPTED, OR ERROR-FREE
- THAT FAN-PARTNER INTERACTIONS WILL BE PRODUCTIVE OR ACCURATE
- THAT CONTENT DELIVERED BY PARTNERS MEETS ANY PROFESSIONAL OR MEDICAL STANDARDS
LIMITATION OF LIABILITY:
To the maximum extent permitted under law, Zudue's total liability for any claim shall not exceed:
- ₹100 (Rupees One Hundred only), or
- The amount paid by you to Zudue in the preceding 6 months
- Whichever is greater.
11. INDEMNIFICATION
You agree to indemnify and hold harmless Zudue, its directors, officers, employees, and affiliates from any claims, liabilities, or expenses arising from:
- Your use or misuse of the Platform
- Any breach of these Terms
- Content you submit or share
- Disputes between Fans and Partners
12. TERMINATION
Zudue may suspend or permanently terminate your account for any reason including:
- Policy violations
- Repeated complaints
- Non-fulfillment of services
- Regulatory non-compliance
You may request deletion of your account at any time via the support team.
13. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
14. AMENDMENTS
Zudue may update these Terms periodically. Updates will be notified via:
- Email or in-app alerts
- Updated posting on our website
By continuing to use the Platform, you agree to the revised Terms.
